These Terms of Service (“Terms”) govern your access to and use of the Strategy Simple LLC website, platforms, applications, data products, and related services, including RevSpring.io, simple|AUDIENCE, superPIXEL, and all other services provided by Strategy Simple LLC (“Strategy Simple,” “we,” “us,” or “our”).

By accessing or using any Strategy Simple service or site, you agree to these Terms.

If you do not agree, do not use our Site or Services.

1. Scope of Services

Strategy Simple provides a range of B2B services, including:

Strategy consulting and advisory services

Data-as-a-Service (DaaS) and intent identity resolution

SaaS platforms, including RevSpring.io

Marketing automation tools

superPIXEL visitor identity resolution

simple|AUDIENCE intent data, enriched datasets, and audience delivery

Content, analytics, dashboards, and integrations

Specific services may be subject to additional agreements (e.g., Statements of Work, Master Service Agreements, Subscription Agreements, Data Processing Addendums). Those agreements govern in the event of a conflict with these Terms.

2. Eligibility

You represent and warrant that:

You are at least 18 years old

You are acting on behalf of a business or organization

You have authority to bind the entity you represent

Your use of the Services is compliant with all applicable laws

Our Services are intended for business use only, not for personal or household purposes.

3. License & Acceptable Use

3.1 License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for your internal business use.

3.2 Restrictions

You must not:

Resell, sublicense, or redistribute Strategy Simple data without written approval

Reverse engineer, decompile, or attempt to extract source code

Interfere with system integrity or security

Use bots, scrapers, or automated tools except as authorized

Abuse or misuse API access

Use the Services for unlawful, harmful, or abusive activities

Use data obtained through the Services to discriminate or engage in harmful practices

We may suspend or terminate access for violations.

4. Client Data, Intent Data & Identity Resolution

4.1 Client-Provided Data

If you upload, transmit, or connect data to our platforms, you represent that:

You have lawful rights to that data

You grant us a license to process it solely to provide the contracted Services

You will not upload restricted, sensitive, or illegal data

4.2 Intent Data and Identity-Resolution Data

simple|AUDIENCE and superPIXEL services provide:

Business contact information

Behavioral intent signals

Website visitor identity resolution

Enriched data from online, offline, and public sources

All identity resolution and intent data is:

Collected and processed in accordance with applicable law

Provided solely for lawful B2B lead generation, marketing, analytics, or operational use

Not to be used for FCRA, credit, insurance, housing, employment, or eligibility decisions

Client is responsible for ensuring proper disclosures and consent mechanisms on any website where superPIXEL is deployed.

4.3 Data Accuracy

Strategy Simple uses extensive verification processes but does not guarantee the accuracy, completeness, or timeliness of any third-party or intent-based data.

5. Payment & Fees

If you purchase or subscribe to Strategy Simple services:

All fees are due as stated in the agreement, invoice, or subscription

Fees are non-refundable unless explicitly stated

Late payments may result in service suspension

You authorize Strategy Simple to invoice or charge your payment method as applicable

Termination of service does not relieve you of unpaid obligations.

6. Intellectual Property

All content, software, databases, tools, algorithms, documentation, designs, trademarks, and data models are the sole property of Strategy Simple LLC or its licensors.

You may not:

Copy

Modify

Sell

Distribute

Create derivative works

Claim ownership

Subject to any separate written agreements, you retain ownership of Client Data you supply.

7. Confidentiality

Each party may access the other party’s confidential information.
Both parties agree to:

Maintain confidentiality

Use the information solely to perform obligations

Not disclose it to unauthorized parties

Confidentiality obligations survive termination.

8. Privacy Policy

Your use of the Services is also governed by our Privacy Policy available at strategysimple.com/privacy-policy.

By using the Services, you consent to the processing described in that Policy.

9. Third-Party Tools & Integrations

Strategy Simple services may integrate with:

Meta (Facebook/Instagram)

Google

LinkedIn

CRMs, APIs, and data platforms

You are responsible for:

Reviewing and complying with those third-party terms

Maintaining credentials, permissions, and access

We are not liable for failures caused by third-party systems.

10. Availability & Modifications

We may:

Update, modify, or discontinue Services

Perform maintenance or upgrades

Limit access temporarily or permanently

We will make reasonable efforts to minimize disruptions, but we do not guarantee uninterrupted availability.

11. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available.”

Strategy Simple disclaims all warranties, express or implied, including:

Merchantability

Fitness for a particular purpose

Accuracy or error-free operation

Non-infringement

Results from using identity-resolution or intent data

No advice or information provided creates any warranty unless expressly stated in writing.

12. Limitation of Liability

To the fullest extent permitted by law:

Strategy Simple is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages.

Strategy Simple’s total aggregate liability for any claim is limited to the amount paid by you in the 12 months preceding the claim.

We are not liable for losses arising from:

Third-party systems

Internet failure

Data inaccuracies

Unauthorized access not caused by our negligence

Client misuse of identity-resolution or intent data

Certain jurisdictions do not allow these limitations; they apply to the maximum extent allowed.

13. Indemnification

You agree to indemnify, defend, and hold harmless Strategy Simple from any claims, damages, or liabilities arising from:

Your use of the Services

Breach of these Terms

Violation of law

Improper deployment or use of superPIXEL or intent data

Misuse of third-party or client-provided data

14. Termination

We may suspend or terminate your access:

For breach of these Terms

For non-payment

To comply with law

To protect system security

You may terminate by providing written notice, subject to contract obligations.

Upon termination:

Licenses end

Access to platforms may be disabled

Fees remain due for the contract term

We may retain data as required by law or agreement

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.

Any dispute will be resolved:

First, through good-faith negotiation

If unresolved, through binding arbitration in Wayne County, Michigan

No class actions or class arbitrations are permitted.

16. FULFILLMENT & REFUND POLICY

Order Fulfillment - Strategy Simple LLC provides digital data products and professional services. Upon receipt of payment, digital products (e.g., data sets) are typically delivered electronically via email or client dashboard within 1-2 business days unless otherwise agreed upon in writing. Service fulfillment timelines will be mutually agreed upon and confirmed in writing before work begins.

No Refunds Policy - Due to the time-sensitive and perishable nature of data products, all data sales are final. No refunds will be issued once data has been delivered or access has been granted. This includes but is not limited to email lists, intent-based lead data, and audience identity data. We may, on a case-by-case basis and at our sole discretion, offer to replace the data set if it is determined to be incomplete or corrupted.

In the case of service-based engagements (e.g., consulting, campaign execution, or implementation services), all sales are also final. However, we reserve the right to, at our sole discretion, offer make-goods, additional services, or reasonable remedies if there is a service failure attributable to us.

Accepted Payment Methods - We accept payments via Stripe, Zelle, Venmo Business, PayPal, ACH transfer, checks, and cash. All payments are processed securely, and your payment method must be valid at the time of purchase. By providing payment information, you authorize us to charge your selected payment method.

17. Changes to These Terms

We may modify these Terms at any time.
Updated terms become effective upon posting.

Your continued use signifies acceptance.
